Notre Pain LLC d/b/a SanitationParts.com

1. ACCEPTANCE. These Terms and Conditions of Sale (“Terms”) govern all sales of products and services by Notre Pain LLC, doing business as SanitationParts.com (“Seller”), to the purchaser (“Buyer”). Buyer’s submission of an order through this website or any other channel constitutes absolute acceptance of these Terms.

2. PRICING & TAXES. Prices are subject to change without notice. Prices do not include sales, use, or other taxes. Seller reserves the right to cancel orders arising from pricing errors, technical glitches, or SKU inaccuracies. All sales are processed in USD.

3. PAYMENT. Terms are net 30 days from invoice date for approved credit accounts; otherwise, payment is due at the time of order via Zoho Payments or another authorized gateway. Seller maintains a purchase money security interest in products until the balance is paid in full.

4. SHIPPING & RISK OF LOSS. All shipments are F.O.B. Shipping Point. Risk of loss and title pass to Buyer upon delivery to the carrier. Shipping dates are estimates only; Seller is not liable for delays in transit, carrier performance, or facility downtime caused by delivery schedules.

5. PRODUCT VISUALS. Technical specifications and manufacturer part numbers serve as the primary authority for product identification. Photographic representations are for illustrative purposes and are subject to variance due to environmental illumination, specular reflection of stainless steel, and display hardware calibration.

6. INDUSTRIAL USE. Products are intended for industrial applications. Buyer assumes all liability for the selection, installation, and maintenance of parts. Seller does not provide engineering services or onsite installation.

7. LIMITED WARRANTY. Seller passes through all manufacturer warranties to Buyer. SELLER MAKES NO INDEPENDENT WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. LIMITATION OF LIABILITY. SELLER’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE PURCHASE PRICE OF THE PRODUCT GIVING RISE TO THE CLAIM. SELLER IS NOT LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR INDIRECT DAMAGES (INCLUDING LOST PROFITS OR FACILITY DOWNTIME).

9. RETURNS & CANCELLATIONS. Returns must be authorized within 30 days of receipt and are subject to a minimum 15% restocking fee. Custom-ordered or non-stock items are non-returnable and non-refundable.

10. REGULATORY COMPLIANCE. Buyer is responsible for ensuring products meet facility-specific requirements under the FDA and SanitationParts.com quality standards. Seller does not independently verify manufacturer compliance or certification claims.

11. FORCE MAJEURE. Seller is not liable for failure to perform due to causes beyond its control, including labor disputes, supply chain disruptions, or raw material shortages (e.g., Stainless Steel or polymer volatility).

12. GOVERNING LAW. These Terms and all transactions are governed by the laws of the State of Arkansas. Any legal action shall be brought exclusively in the state or federal courts located in Little Rock, Pulaski County, Arkansas.

13. INTELLECTUAL PROPERTY. All digital directory structures, SKU hierarchies, and the "SP" monogram are the property of Notre Pain LLC. Unauthorized reproduction or scraping of digital catalog assets is strictly prohibited.
